Disclosure Controls and Procedures
Introduction
Winpak is a public company subject to various rules and regulations governing, among
other things, the obligation to disclose material information to the public. The Company,
defined as a large company by the Canadian Securities Administrators, operates with
a small head office staff. For an extended period of time, the majority of the Company's
shares have been owned by a relatively small number of shareholders including the
majority shareholder, Wihuri Oy of Finland, and various institutional investment and
pension funds located mainly in Canada. Winpak has promoted a frank and open relationship
with existing and potential shareholders ("investors") in the past. Winpak's Board
of Directors embrace applicable regulations for public disclosure and within that
framework encourages continued dialogue between investors and the Company's designated
Spokespersons.
